# Sales staff in Italy and permanent establishment risk for Nordic companies

> An Italian seller can create a taxable presence for your Nordic company. When the risk arises, what reduces it, and how it affects the choice of EOR or entity.

For many Nordic companies, the first Italian hire is a seller. That raises a question an engineering hire does not: can this person create a permanent establishment for your company in Italy, with Italian corporate tax on part of your profits?

This article explains the issue in practical terms. It is not tax advice. The answer for your company depends on facts, the tax treaty between Italy and your home country, and how the role is set up.

## What a permanent establishment is

In broad terms, a foreign company has a permanent establishment in a country when it has a fixed place of business there, or a person who habitually concludes contracts on its behalf, or plays the principal role leading to contracts that are routinely concluded without material changes. A permanent establishment means the company may owe local corporate tax on profits attributable to it, plus filings.

An Employer of Record (EOR) makes us the employer. It does not change what the employee does for you. If the activity creates a permanent establishment, the EOR structure alone does not remove it.

## Where the risk is low

- Engineering, product, support, back office and other roles that do not sell.
- Marketing and pre-sales support that does not negotiate terms.
- Supplier quality and sourcing roles that buy rather than sell.
- Customer success for existing contracts concluded elsewhere.

## Where the risk grows

- The seller negotiates prices and terms and signs contracts in your name.
- The seller does everything except formally sign, and head office approves without changes.
- There is an office or another fixed place at your disposal in Italy.
- Italian revenue is significant and growing.

## What reduces the risk

**Keep authority to conclude contracts at head office.** The Italian seller generates leads, presents and negotiates within limits. Final terms are set and approved by your Nordic team, and contracts are signed there.

**Document the process.** Approval steps, pricing authority and signatories in writing. A real process is more convincing than a policy that nobody follows.

**Avoid a fixed place of business.** Home-based work under a lavoro agile agreement is not the same as an office you control. Be careful with dedicated premises.

**Review as you grow.** A model that is fine with one seller and modest revenue may not be with five sellers and a large Italian book.

## When an entity is the better answer

If the Italian team concludes sales as its core activity, a local company or branch is often the cleaner structure. You pay Italian tax on Italian profits through a vehicle designed for it, rather than carrying uncertainty. Many Nordic companies start with an EOR seller, prove the market, and set up an entity when sales take off.

## What we do

As Employer of Record, we draft the employment contract and job description so that the role is clear, including where authority to conclude contracts sits. We do not give corporate tax advice; we recommend your tax adviser reviews the set-up, and we work with them. [Review: permanent establishment wording to be validated by our labour lawyer and a tax adviser before publishing.]

## Checklist

1. Define the role: sell, support, or both?
2. Decide who negotiates and who signs.
3. Write the approval process down.
4. Avoid a fixed place of business at your disposal.
5. Review the set-up every year.

## Questions we hear from Nordic companies

**Does a home office create a fixed place of business?**
Generally a home office used by the employee is different from premises at your disposal, but the facts matter: who pays for it, whether it is used for customer meetings, and whether it is required by you. Discuss it with your tax adviser.

**Does marketing activity count?**
Activities of a preparatory or auxiliary nature are treated differently from concluding contracts. Marketing support usually belongs to that category, but keep the boundaries clear.

## In short

An Italian seller is the most likely hire to create a taxable presence. Keep contract authority at head office, write down the approval process, avoid a fixed place of business at your disposal, and review the set-up as revenue grows. When Italian sales become a core business, a local company is usually the cleaner answer.
